These terms apply when you create a Prolisto account or use the Prolisto software ("the service"). By signing up or using the service, you agree to them on behalf of yourself and the business you represent. If you don't agree, please don't use the service.
1. Who we are
The service is provided by Prolisto Ltd, a company registered in Scotland with company number SC878108 ("Prolisto", "we", "us").
- Registered office: 77 Ochiltree, Dunblane, FK15 0DQ, United Kingdom
- Trading address: 68 Underwood Road, Paisley, PA3 1QZ, United Kingdom
- Email: info [at] prolisto.com
2. The service
Prolisto is software for businesses that sell online. Depending on your plan, it helps you create and manage listings, keep stock in sync across channels, reprice products, manage orders and print shipping labels. The features in each plan are shown on our pricing page.
The service is for business use. You must be at least 18 and able to agree to these terms for your business.
Consulting, development, design and other services are agreed separately for each project and are not covered by these terms unless we say otherwise.
3. Your account
- Keep your login details safe and don't share them. You can add staff accounts for your team; you are responsible for what happens on your account, including your staff's actions.
- Give us accurate details and keep them up to date.
- Tell us straight away at info [at] prolisto.com if you think someone has used your account without permission.
4. Plans and free trials
- Start is free. We may limit or change what the free plan includes; if we remove something you rely on, we'll tell you first.
- Grow and Scale come with a free 30-day trial, so you can try them before paying. If you don't choose a paid plan by the end of the trial, your account moves to the free plan or is paused.
- Enterprise plans are agreed individually, and the agreed terms apply alongside these.
You can change plan at any time. Upgrades take effect straight away; downgrades take effect from your next billing period.
5. Fees and payment
- Paid plans have a monthly fee, plus a percentage of the value of sales processed through Prolisto, as shown on our pricing page when you subscribe. Prices exclude VAT, which is added where it applies.
- Fees are billed monthly in advance, and the sales percentage monthly in arrears, using the payment method on your account.
- If a payment fails, we'll let you know and try again. If it still isn't paid, we may pause your account until it is.
- We may change our prices. We'll give you at least 30 days' notice by email, and the new price applies from your next billing period after that. If you don't accept the change, you can cancel before it takes effect.
- Fees already paid are not refundable, except where the law says otherwise or we agree in writing.
Marketplace, payment and carrier fees (for example eBay, Amazon or Royal Mail charges) are separate and paid to those companies, not to us.
6. Marketplaces and other services
Prolisto connects to marketplaces, carriers and other services that we don't control, such as eBay, Amazon, WooCommerce and Royal Mail. When you connect them:
- you give us permission to access your accounts with them on your behalf, to do what you ask the service to do;
- you must follow their terms and policies, and you remain responsible for your listings, prices, stock and orders on them;
- their services can change, go down or limit access, which may affect what Prolisto can do. We'll work to keep integrations running but can't guarantee them.
7. Using the service properly
You must not:
- use the service for anything illegal, or to list items you're not allowed to sell;
- try to access other customers' data, or parts of the service you're not meant to;
- overload, disrupt or attack the service, or try to copy or reverse-engineer it;
- resell or share access to the service without our written agreement.
If you break these rules, we may suspend or close your account. Where we reasonably can, we'll tell you first and give you a chance to put things right.
8. Your data
- Your product, listing, customer and order data belongs to you. You give us permission to store and process it only to provide the service to you.
- When we process personal data about your customers, we do so on your behalf and following your instructions, as your processor under UK data protection law. We keep it secure and confidential, and don't use it for anything else.
- You can export your data while your account is open. After your account closes, we keep your data for a limited time so you can retrieve it, then delete it, unless the law requires us to keep it.
- How we handle personal data on our website is explained in our privacy policy.
9. Our software and content
The service, its software, design and content belong to Prolisto or our licensors. We give you a right to use the service for your business while your account is active and these terms are followed. Templates and content you create in Prolisto belong to you.
If you send us feedback or ideas, we may use them to improve the service without owing you anything.
10. Availability and support
We work hard to keep the service running and secure, but it may sometimes be unavailable, for example for maintenance or because of problems outside our control. We'll try to plan maintenance for quiet times and keep it short.
Our team can help by phone, email and chat from 9am to 5pm UK time, Monday to Friday. Enterprise plans include 24/7 technical support.
11. Liability
- Nothing in these terms limits liability that can't be limited by law, such as for death or personal injury caused by negligence, or for fraud.
- We are not liable for loss of profits, sales, business or goodwill, or for indirect losses, or for problems caused by marketplaces, carriers or other services outside our control, or by how you use the service (for example the prices or stock levels you set).
- Otherwise, our total liability to you in any 12-month period is limited to the fees you paid us in that period.
You remain responsible for checking your listings, prices and orders, and for keeping your own records.
12. Cancelling and closing accounts
- You can cancel a paid plan at any time from your account or by contacting us. It stays active until the end of the billing period you've paid for.
- We may close your account if you seriously or repeatedly break these terms, or don't pay. We may also stop offering the service, giving you at least 30 days' notice so you can export your data.
13. Changes to these terms
We may update these terms, for example when we add features or the law changes. For important changes, we'll tell you by email at least 30 days before they apply. If you keep using the service after that, the new terms apply.
14. Other things
- If part of these terms can't be enforced, the rest still applies.
- If we don't enforce a right straight away, we can still enforce it later.
- You can't transfer your account or these terms to someone else without our agreement.
15. The law that applies
These terms are governed by the law of Scotland, and the Scottish courts deal with any dispute. If your business is elsewhere in the UK, you may also bring a claim in your local courts.
